Wholesale Terms of Service

These Wholesale Terms of Service ("Terms") form an agreement between ZKZK PTY LTD (ABN pending), trading as EchoRoam ("EchoRoam", "we", "us") and the business entity that registers for an EchoRoam Wholesale account ("Customer", "you"). By creating an account, topping up, or using the wholesale platform, dashboard or API, you accept these Terms.

1. The Service

EchoRoam Wholesale resells wholesale eSIM data plans sourced from upstream network aggregators ("Suppliers") to business customers for resale to their own end users. We provide a catalog, USD-denominated prepaid wallet, a web dashboard, a JSON API, and signed webhook notifications. EchoRoam does not operate mobile networks itself and does not guarantee continuous availability of any specific plan, network, or destination.

2. Eligibility & Account

  • Accounts are for businesses only. You must provide accurate business details and keep them current.
  • You are responsible for all activity under your account, API keys and webhook endpoints.
  • We may suspend accounts involved in fraud, abuse, resale to sanctioned parties, or breach of these Terms.

3. Wallet & Payments

  • The wallet is prepaid only and denominated in USD. No credit terms are offered.
  • Top-ups are charged in Australian Dollars (AUD) at the daily ECB reference rate shown before payment. EchoRoam is an Australian company; Square processes all card payments with 3-D Secure.
  • Minimum top-up: US$50 for your first top-up; US$100 for subsequent top-ups; maximum US$10,000 per top-up.
  • Auto-reload (optional) charges your saved card when your balance falls below your chosen threshold, once per day maximum. You can disable it anytime.
  • Wallet balances are non-transferable and, except as stated in §5, non-refundable. Unused balances may be refunded to the original card on account closure, less a US$25 processing fee, at our discretion.

4. Pricing & Orders

  • Catalog prices are wholesale rates in USD and may change with supplier pricing and FX. The price shown at order time is the price charged.
  • Wallet debits are atomic and idempotent; a failed or refunded order is always fully re-credited.
  • Plan details (coverage, networks, activation policy, top-up support) come from Suppliers and may change without notice.

5. Cancellations & Refunds

  • An eSIM order can be cancelled for a full wallet refund only if the eSIM has not been activated or used, as verified against the Supplier's records.
  • Activated or partially-used eSIMs are final sale and non-refundable.
  • If an order fails upstream, the full amount is refunded to your wallet automatically.

6. Acceptable Use

  • You may not use the platform for fraud, carding, money laundering, resale of free/trial eSIMs, or violation of any law or sanctions regime.
  • You are responsible for your own end customers' compliance, support, and any consumer-law obligations in the markets you sell into.
  • Chargebacks filed after wallet credit or eSIM delivery may result in immediate balance reversal and account suspension.

7. Data & Privacy

We process your business contact details, wallet records, and order data (including ICCIDs and activation codes) to provide the service. End-user personal data you pass through the platform (e.g. delivery emails) is processed as required for fulfillment only. See our Privacy Policy for details.

8. Availability & Liability

  • The service is provided "as is". We target high availability but do not warrant uninterrupted service; supplier outages can delay fulfillment (orders remain pending and refundable).
  • To the maximum extent permitted by law, our aggregate liability is limited to the amount you topped up in the 90 days before the claim.
  • We are not liable for indirect losses, lost profits, or your end customers' claims.

9. General

  • These Terms are governed by the laws of South Australia, Australia.
  • We may update these Terms with 14 days' notice by email; continued use after notice constitutes acceptance.
